The below Terms & Conditions relate to and encompass all offers, deals, and exchanges provided, hosted, or supplied by Etheric Art, otherwise known as Candace Schlageter d/b/a Etheric Art. This includes but is not limited to Subscription Services (including monthly boxes and digital content access), Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement.
In these Terms & Conditions, Etheric Art is herein referred to using the terms “we”, “us”, “our”, or “Etheric Art,” and the term “you”, “subscriber,” “participant,” or “user” herein refers to any purchaser and/or user of any of our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement.

We reserve the right to change these Terms & Conditions from time to time. By purchasing, using, or engaging with any of our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement, you are agreeing to the Terms & Conditions as they appear and are legally bound by them, whether or not you have read them. If at any time you do not agree with these Terms & Conditions, please do not use our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement.
You must be at least 18 years of age to purchase, access, or use our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement. By agreeing to these Terms & Conditions, you represent and warrant that you are at least 18 years old.
In these Terms & Conditions, GuidedFree Hypnotherapy and Etheric Art are herein referred to using the terms “we”, “us”, “our”, “GuidedFree Hypnotherapy”, or “Etheric Art” and the term “you” herein refers to any purchaser and/or user of any of our Group Or Individual Therapeutic And Hypnotherapy Services, Programs, Subscriptions, Courses, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, And/Or Social-Media Presence Or Engagement.

By purchasing, using, or engaging with any of our Group Or Individual Therapeutic And Hypnotherapy Services, Programs, Subscriptions, Courses, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, And/Or Social-Media Presence Or Engagement, you are agreeing to the Terms & Conditions as they appear and are legally bound by them, whether or not you have read them. If at any time you do not agree with these Terms of Use, please do not use our Group Or Individual Therapeutic And Hypnotherapy Services, Programs, Subscriptions, Courses, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, And/Or Social-Media Presence Or Engagement.
Subscription Services
We offer two distinct subscription services: (i) Etheric Art Monthly, which requires a yearly commitment for twelve (12) months of service, billed annually in advance, with automatic renewal unless canceled in writing at least ten (10) days prior to the renewal date; and (ii) EthericAudio Library, a separate subscription providing ongoing access to our streaming library. Buy Now Pay Later (BNPL) options may be available through our payment processors for either service, subject to each payment processor’s separate terms, conditions, and approval.
Etheric Art Monthly includes: (a) delivery of monthly boxes containing holistic/alternative health items and art supplies (sourced to be non-toxic and eco-friendly where possible, but no guarantees are provided); and (b) access to monthly-exclusive digital content, including Release & Relax guided meditations and Hypnotic Art Interpretations (which are unique to the applicable month, will not be added to any ongoing streaming library, and are intended for use only during the month of delivery and not thereafter). Access to such monthly-exclusive digital content terminates at the end of the relevant subscription month or upon earlier cancellation of the subscription.
EthericAudio Library provides access to a restricted streaming library of guided meditations, brainwave entrainment audio, and focus/relaxation music for the duration of an active subscription only. Access to the EthericAudio Library terminates immediately upon cancellation or non-renewal of the subscription.
No right, title, or interest in any content or materials provided through either subscription is transferred to you beyond the limited, non-exclusive, non-transferable license described elsewhere in these Terms & Conditions.
We grant you a limited, non-exclusive, non-transferable, non-assignable, non-sublicensable right to access the Subscription Services and view any content displayed to you as part of the Services for the sole purpose of enabling you to use the Services for your personal purposes, as permitted by these Terms & Conditions. Except for the foregoing limited license, no right, title, or interest shall be transferred to you by us. You agree not to use the Subscription Services for broadcast or public performances or to otherwise make such content available to a broad audience (e.g., via streaming it to online users).
The Subscription Services may not be available in all countries and are currently focused solely on users within the United States. You may view the Subscription Services primarily within the country where you created your account and only in regions where we provide our Services and have the necessary content licenses. The content available for viewing may differ by geographic location and will change from time to time in our sole discretion.
No content available through the Services, including any streaming media, video, audio, or other materials, may be downloaded, saved, or stored at any time, whether for offline viewing or any other purpose, unless your subscription tier expressly permits it. Even where downloading is permitted under your subscription tier, the only media content that may be downloaded is guided meditation audio and brainwave entrainment music found in the EthericAudio library. All other content remains strictly non-downloadable. Access to digital content expires immediately upon subscription cancellation or non-renewal.
You agree not to archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorized in these Terms & Conditions) content and information contained on or obtained from or through the Subscription Services. You also agree not to: circumvent, remove, alter, deactivate, degrade, or thwart any of the content protections in the Subscription Services; use any robot, spider, scraper, or other automated means to access, download, aggregate, or copy the Subscription Services or any information available therein; decompile, reverse engineer, or disassemble any software or other products or processes accessible through the Subscription Services; insert any code or product or manipulate the content of the Subscription Services in any way; exploit the Subscription Services for any commercial purpose; access or use the Subscription Services in any manner that could disable, overburden, damage, disrupt, or impair the Subscription Services or interfere with any other party’s access to or use of the Subscription Services or use any device, software, or routine that causes the same; attempt to gain unauthorized access to, interfere with, damage, or disrupt the Subscription Services, accounts registered to other users, or the computer systems or networks connected to the Subscription Services; use any data mining, data gathering, or extraction method; use the Subscription Services or any content or information available therein to create, develop, or improve any competing products or services or to power, enable, or train any artificial intelligence and machine learning models, tools, or technologies; violate any applicable law or regulation in connection with your access to or use of the Subscription Services; or upload, post, e-mail, or otherwise send or transmit any material designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Subscription Services, including any software viruses or any other computer code, files, or programs. We may terminate or restrict your use of the Subscription Services if you violate these Terms & Conditions or are engaged in illegal or fraudulent use of the Subscription Services.
You are responsible for providing the mobile device, wireless service plan, software, Internet connections, and/or other equipment or services that you need to access and use the Subscription Services. We do not guarantee that the Subscription Services can be accessed and used on any particular device or with any particular service plan. We do not guarantee that the Subscription Services will be available in, or that orders can be placed from, any particular geographic location. As part of the Subscription Services and to update you regarding the status of deliveries or access, you may receive push notifications, local client notifications, text messages, picture messages, alerts, emails, or other types of messages directly sent to you in connection with the Subscription Services (“Push Messages”). You acknowledge that, when you use the Subscription Services, your wireless service provider may charge you fees for data, text messaging, and/or other wireless access, including in connection with Push Messages. You have control over the Push Messages settings and can opt in or out of these Push Messages through the Subscription Services or through your mobile device’s operating system (with the possible exception of infrequent, important service announcements and administrative messages). Please check with your wireless service provider to determine what fees apply to your access to and use of the Subscription Services, including your receipt of Push Messages from us. You are solely responsible for any fee, cost, or expense that you incur to access and/or use the Subscription Services on your mobile device, including for your receipt of Push Messages from us.
The Subscription Services, including the content library, are regularly updated. We also continually test various aspects of our Subscription Services, such as our Website and content. Your access to and use of the Subscription Services may be interrupted from time to time, including, without limitation, in connection with updates or testing.
You agree not to use any content of the Website or Subscription Services for any commercial purpose. With all audio and video sessions, you must be in a place where you can safely relax and never listen to sessions while driving or operating machinery. Audio content is intended for relaxation purposes only. It is not a medical device or treatment and is not intended to diagnose, treat, cure, or prevent any medical condition or disease. The intended audience is individuals 18 years of age or older.
Shipping and Delivery
All Subscription Services that include monthly boxes are available solely to addresses within the continental United States. We do not currently offer international shipping. Domestic shipments are handled by USPS, UPS, or FedEx (or such other carrier as we may select in our discretion).
For initial subscriptions, we will tender the first monthly box to the carrier within six (6) to eight (8) business days following your purchase date (or such later date as may be required for processing or verification). Thereafter, subsequent monthly boxes will be tendered to the carrier on or about the first Thursday and third Thursday of each calendar month (or, if either date falls on a non-business day or holiday, the next closest business day thereafter, as determined by us in our reasonable discretion).
All delivery dates, timelines, and schedules set forth herein (including initial and recurring shipments) are approximate estimates only and are not guaranteed. Actual delivery may vary due to carrier performance, processing times, high demand periods, holidays, weather, supply chain issues, or other factors beyond our reasonable control. We make commercially reasonable efforts to meet these estimates but shall not be liable for any delays, non-delivery, misdelivery, or related costs arising therefrom.
Shipping is provided free of charge for qualifying orders (thresholds between $0 and $20, as determined by subscription tier); additional shipping fees may apply as specified at checkout or in your subscription details.
You are solely responsible for providing accurate and complete shipping information, including a valid delivery address. We are not liable for delays, losses, or damages due to incorrect addresses or other user-provided errors. Estimated delivery times are approximate only and are not guaranteed. We make commercially reasonable efforts to facilitate timely delivery but shall not be liable for any delays, losses, non-delivery, misdelivery, damage, or other issues arising from or in connection with the carrier’s performance, including without limitation carrier negligence, errors, strikes, weather conditions, customs or regulatory inspections (if applicable), acts of God, force majeure events, or any other circumstances beyond our reasonable control. Tracking information will be provided via email once the package is shipped. For lost or damaged packages, we will reship or replace items free of charge upon receipt of claim documentation, including a carrier claim number and photos of the box and damaged items. All claims must be submitted to support@ethericart.com within 48 hours of delivery.
Returns, Exchanges, Refunds, and Cancellations
General Policy. All purchases of Subscription Services are final and non-refundable except as expressly provided in this section. Monthly boxes delivered as part of the Subscription Services constitute an integral and non-severable component of the service package and are not eligible for standalone refunds or exchanges absent qualifying damage as described below.
Full Refunds on Initial Signup. You may request a full refund of the Subscription Services fee within five (5) business days following the date of initial signup, provided that: (i) the request is submitted in writing to support@ethericart.com; and (ii) the first monthly box has not yet been shipped. We will process such refunds within a reasonable time after verification, using the original payment method (subject to any third-party processor fees or restrictions, such as those imposed by the payment processors).
Partial Prorated Refunds. Partial refunds are available on a limited, prorated basis if you cancel prior to shipment of the final quarterly box, calculated as a percentage of the total subscription fee as follows (based on the number of months elapsed since signup or boxes/experiences received, whichever is determinative):

- If cancellation occurs after receipt of 1 to 3 months’ boxes/experiences: sixty-five percent (65%) refund of the total subscription fee.
- If cancellation occurs after receipt of 4 to 6 months’ boxes/experiences: forty percent (40%) refund of the total subscription fee.
- If cancellation occurs after receipt of 7 or more months’ boxes/experiences: no prorated refund shall be available.

In lieu of a prorated refund for the final quarter, you may elect to pause the subscription for up to two (2) months and resume service at a later date, subject to our availability and confirmation. All partial refund requests must be submitted in writing to support@ethericart.com prior to shipment of the next applicable box and are subject to our verification of usage and compliance with these Terms & Conditions. Refunds, if approved, will be issued at our sole discretion and may be reduced by any applicable processing fees or third-party charges.
No Refunds for Digital Content. Notwithstanding any other provision herein, access to digital content (including the streaming library of guided meditations, brainwave entrainment audio, and any other downloadable or streamable materials provided as part of the Subscription Services) is non-refundable under all circumstances. Once digital access is granted upon subscription activation, such content is deemed fully performed and consumed, and no refunds, credits, or prorated amounts shall be issued for unused or partially used digital content, even in the event of cancellation, termination, or non-use.
Damaged, Missing, or Defective Boxes. If a monthly box is received in a completely damaged condition or contains missing, broken, or damaged items attributable to transportation by the carrier, you may submit a claim for replacement (or, in limited circumstances and at our discretion, return and refund). To qualify, you must:

- Provide verifiable proof that the damage or loss occurred due to shipping and handling (including clear photographs of the outer box packaging and affected items); and
- Submit the claim to support@ethericart.com within forty-eight (48) hours of delivery (or anticipated delivery date in the case of non-delivery), accompanied by a carrier-issued claim number.

We will review all claims promptly and, upon approval, reship replacement items at no additional charge (or issue a credit/refund for the affected box value, at our sole discretion). We reserve the right to deny any claim that does not meet these strict requirements or appears to result from misuse, improper handling after delivery, or other non-carrier-related causes. This process is subject to the limitations set forth in the Shipping and Delivery section above.
Cancellations. To avoid automatic renewal and associated charges, you must cancel your subscription via your account portal (or in email to support@ethericart.com) at least ten (10) days prior to the renewal date. Upon effective cancellation:

- Access to digital content shall terminate immediately;
- No further boxes shall be shipped; and
- No refunds or credits shall be issued for any undelivered boxes unless the cancellation qualifies under the prorated refund policy above.

We reserve the right to deny or limit refunds, replacements, or pauses in cases of suspected abuse, fraud, or repeated claims. All decisions regarding refunds, returns, exchanges, or cancellations are final and made at our sole discretion.
Product Disclaimers. The products provided as part of the Subscription Services, including art supplies and holistic items in monthly boxes, are not intended to diagnose, treat, cure, or prevent any disease or medical condition. While we endeavor to source non-toxic and eco-friendly materials where possible, no warranties, express or implied, are made regarding product safety, suitability, allergen-free status, or fitness for any particular purpose. You agree to consult a qualified physician prior to use if you have any allergies, sensitivities, or health concerns, and you assume all risks associated with use of the products.
Workshops, Seminars, and Retreats
Event Types and Formats
Workshops and Seminars shall be offered in live in-person and/or virtual/online formats, as specified at the time of registration. For any live in-person Workshops or Seminars not originated or primarily hosted by us (including, without limitation, corporate seminars or third-party engagements), the purchasing party shall be responsible for reimbursing all reasonable travel costs for two (2) persons and providing suitable housing accommodations if the event location is more than fifty (50) miles from our principal business address at 6001 W Parmer Ln, Ste 370 PMB 76, Austin, TX 78727, or otherwise outside the Austin, Texas metropolitan area.
Retreats shall be offered exclusively in live in-person formats and may be conducted within the United States or internationally, as described in the applicable event listing. For multi-day Retreats, each participant shall be solely responsible for arranging and bearing the costs of all travel to, from, and during the Retreat (including any optional departures from the designated venue) as well as all meals and incidental expenses. Housing accommodations shall be included in the Retreat registration fee unless otherwise stated.
By registering for or attending any Workshop, Seminar, or Retreat, you hereby grant us an irrevocable, royalty-free, worldwide license to record (audio, video, photographic, or otherwise) the event and your participation therein for our internal training, marketing, promotional, archival, or commercial purposes. Such recordings may be used, reproduced, distributed, displayed, or performed by us without further notice, compensation, or consent from you.
Registration and Payments
Single Customer Purchases
For events registered and paid for by individual participants (i.e., purchases made directly by a natural person via our website or other channels, and not on behalf of a corporation, entity, or group), full payment of the applicable fee shall be required at the time of registration. Buy Now Pay Later (BNPL) options may be available through our payment processors, subject to each payment processor’s separate terms, conditions, and approval.

- Online/virtual events: Registrations shall be fully refundable if canceled in writing to support@ethericart.com up to twenty-four (24) hours prior to the scheduled start time. No refunds shall be issued for cancellations received thereafter.
- Live in-person Workshops and Seminars: Registrations shall be partially refundable at fifty percent (50%) of the fee if canceled in writing up to ten (10) days prior to the event start date. We reserve the right, in our sole discretion, to issue a credit or voucher for a comparable future event in lieu of or in addition to any refund, provided that notice of extenuating circumstances is received via email at support@ethericart.com no later than four (4) hours prior to the event start time.
- Retreats: Registrations shall be partially refundable at fifty percent (50%) of the fee if canceled in writing up to thirty (30) days prior to the event start date. No refunds shall be issued for cancellations received thereafter.

In the event we cancel any event for any reason, we shall, at our sole discretion, provide either a credit or voucher for a future comparable event or a full or partial refund of the registration fee.
Entity Purchases (Corporate or Group Bookings)
For events registered and paid for by an entity (e.g., a corporation procuring a Workshop or Seminar for its employees, or a conference/organization engaging services for attendees), payment terms shall be as follows: net thirty (30) days from the date of invoice, or payment via purchase order (PO) at the time of booking, subject to our prior credit approval. We may require a non-refundable deposit of up to fifty percent (50%) of the total fee at the time of booking for larger or customized engagements.

- Online/virtual events: Registrations shall be partially refundable at eighty-five percent (85%) of the fee if canceled in writing up to ten (10) business days prior to the event start date. No refunds shall be issued thereafter; however, rescheduling may be permitted within a two (2)-month window from the original event date, subject to availability and mutual written agreement.
- Live in-person events: Registrations shall be partially refundable at seventy-five percent (75%) of the fee if canceled in writing up to twenty (20) business days prior to the event start date. No refunds shall be issued thereafter; however, rescheduling may be permitted within a two (2)-month window from the original event date, subject to availability and mutual written agreement. Any costs incurred for changes to travel, lodging, or other arrangements due to rescheduling shall be borne solely by the purchasing entity.

All initial and any rescheduling-related travel, lodging, and ancillary expenses for in-person events shall remain the sole responsibility of the purchasing entity or its designated participants.
All registration fees are non-refundable except as expressly provided above. Substitutions of participants may be permitted at our discretion upon written request. We reserve the right to deny, cancel, or modify any registration at any time, including for non-payment, violation of these Terms & Conditions, or failure to meet eligibility criteria, with refund (if any) at our sole discretion.
Liability and Waivers for Events
By participating in any Workshop, Seminar, or Retreat, you acknowledge and assume all risks associated with the event, including but not limited to physical activities (e.g., yoga, meditation, or other holistic exercises that may involve movement or relaxation), personal injury, property loss or damage, travel risks (especially for international Retreats, such as flight delays, health issues, or geopolitical events), and any other hazards inherent to group gatherings or alternative health practices. You represent that you are in good physical and mental health and capable of participating, and you agree to consult a physician if necessary.
You hereby release, waive, discharge, and covenant not to sue Etheric Art, its officers, employees, agents, or affiliates from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, or injury (including death) that may be sustained by you or your property while participating in the event. This waiver applies to any negligence or other acts, however caused, by any person or entity associated with the event.
For Retreats, you may be required to sign a separate waiver reinforcing these terms prior to participation.
Workshop, Seminar & Corporate Event Terms
Guarantee & Refund Policy
EthericArt offers a 100 % Morale & Burnout-Prevention Guarantee on all workshops and off-sites: If, within fourteen (14) calendar days following the event, the client provides written feedback showing no measurable improvement in employee-reported engagement, morale, or burnout indicators (via the post-session survey we supply), the client may request a full refund of the session fee. Refunds are processed within thirty (30) business days. This guarantee applies only to the first session booked and does not apply to materials, travel, or half-day off-sites unless explicitly stated in the booking confirmation.
Disclaimer of Medical or Therapeutic Claims
All workshops, seminars, and corporate events are experiential creative and mindfulness-based programs. They are not intended to diagnose, treat, cure, or prevent any medical or psychological condition. Participants engage voluntarily and at their own risk. EthericArt does not provide clinical hypnosis, psychotherapy, or any licensed mental-health services in the context of corporate workshops. Any perceived benefits (stress reduction, morale improvement, creative insight, etc.) are subjective and not guaranteed for every individual.
Corporate Client Responsibilities
Clients booking for groups represent that they have obtained all necessary internal approvals and that participation is voluntary. EthericArt is not liable for any emotional, psychological, or physical reactions arising from voluntary participation. Clients agree to include a simple participation waiver in their internal communications when required by their own policies.
Code of Ethics
We take our Code of Ethics seriously for all subscribers, participants, staff, contractors, and anyone engaging with our Subscription Services, Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement.
In keeping with the spirit of our Code of Ethics, we commit to upholding the highest possible standards of ethical, safe, and best practices. This includes but is not limited to: (1) taking all reasonable steps to ensure the physical and mental well-being of subscribers and participants; (2) taking all steps possible to ensure non-exploitation, including financially, emotionally, or in any other way; (3) taking all reasonable steps to safeguard privacy and confidentiality; (4) ensuring that our staff and contractors do not mislead, misguide, or misdirect (either overtly or by omission) as to their level of competence, experience, or qualifications; (5) taking all reasonable steps to refer to other services as deemed appropriate or necessary for well-being and safety.
Personal Responsibility and Assumption of Risk
You agree that you are using your own judgment when you decide to use, purchase, or engage with any of our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement, and you agree that you are doing so at your own risk. All of the aforementioned are intended to provide guidance, information, education, and to help you make decisions for your mental and physical well-being. You, however, agree and understand that you assume all risks and no results are guaranteed in any way.
We take every precaution to protect your confidential information (see Privacy Policy) as well as the content and integrity of our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement. However, due to the nature of the Internet, we cannot completely ensure the security of your information or the content or integrity of our offerings hosted by us or transmitted to us on or through our website, email, or social media, and thus do not take responsibility for any outcomes or consequences that arise from the use, misuse, or engagement by you or third parties. You understand that submitting contributions or information through our offerings is done entirely at your own risk. Although we will take every step we can to protect the content and integrity, we make no assurances about our ability to prevent any such loss or damage to you or any other person, company, or entity arising out of use of our Subscription Services, Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement, and you agree that you are assuming such risks.
Intellectual Property
All content, materials, designs, trademarks, logos, audio, video, text, and other intellectual property provided through our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement are owned by or licensed to Etheric Art and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, personal, non-commercial license to access and use such intellectual property solely for your individual use as permitted under these Terms & Conditions. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any intellectual property without our prior written consent.
Limitation of Liability
To the fullest extent permitted by law, Etheric Art, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your access to or use of (or inability to access or use) our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms & Conditions shall not exceed the amount you paid us in the 12 months preceding the claim. EthericArt’s maximum liability shall never exceed the total fees paid for the specific workshop or event in question.
Force Majeure
We shall not be liable for any delay, failure to perform, or cancellation of any obligations under these Terms & Conditions due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics or epidemics, war, terrorism, trade embargoes, strikes, labor disputes, governmental actions, supply chain disruptions, shipping delays, or any other force majeure event. In such cases, we may postpone, reschedule, or cancel events (Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats) or delay shipments without liability, and we will make reasonable efforts to notify you and provide alternatives where possible.
Termination
We reserve the right to suspend or terminate your access to our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement at any time, without notice, for any violation of these Terms & Conditions, including but not limited to unauthorized sharing or downloading of content, commercial exploitation, or any conduct that we deem harmful to our business or other users. Upon termination, all licenses granted to you will immediately cease, and you must destroy any downloaded materials (if previously permitted). You may terminate your subscription by canceling as outlined above.
Indemnification
You agree to indemnify, defend, and hold harmless Etheric Art, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from: (1) your use of our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement; (2) your violation of these Terms & Conditions; (3) your violation of any third-party right, including intellectual property rights; or (4) any claim that your actions caused damage to a third party.
Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms & Conditions or our Subscription Services, Corporate Workshops & Off-Sites, Personal Workshops, Seminars, Retreats, Products, Materials, Marketing Content, Published Content, Website, Other Internet Content, and/or Social-Media Presence or Engagement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in Georgetown, Williamson County, Texas. The arbitration shall be conducted by a single arbitrator, and judgment on the award may be entered in any court having jurisdiction. You agree to waive any right to a jury trial or class action. If arbitration is not enforceable, disputes shall be resolved in the state or federal courts located in Williamson County, Texas.
Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Changes to Terms
We may update these Terms & Conditions from time to time. We will notify you of material changes by posting the updated terms on our Website and, where appropriate, via email. Your continued use of our offerings after such changes constitutes your acceptance of the new terms.
